Price Match Terms & Conditions

These Price Match Terms (“Terms”) govern requests submitted through Downtown Works’ (“DW”) Price Match Request Form. These Terms apply to prospective and existing members requesting that DW match a competitor’s pricing prior to the issuance of an Order Form. These Terms do not themselves constitute a membership agreement. A binding agreement is formed only upon execution of an Order Form incorporating DW’s Master Terms & Conditions (the “Master Terms”).
1. Eligibility
A price match request may be submitted by any prospective or existing member considering a coworking or flexible office plan with a competitor. To be eligible for consideration, a request must meet all of the following:
- The competitor’s proposal must be for terms and services comparable to the DW plan under consideration, including office type, seat count, term length, location tier, and amenities.
- The competitor’s proposal or agreement must be dated within sixty (60) days of the date the price match request is submitted, measured from the date of the competitor’s proposal.
- The request must reflect the competitor’s current, active offer. Expired offers, rates no longer available from the competitor, or non-comparable membership types do not qualify.
Comparability is determined by DW in its sole discretion. DW is not obligated to disclose the specific basis for any comparability determination.
2. Required Documentation
A request must include a PDF copy of the competitor’s proposal or agreement that clearly states all material terms, including rate, term length, plan or product type, and location. Email correspondence, screenshots, verbal quotes, or other informal communications do not satisfy this requirement and will not be accepted as supporting documentation.
DW may deny any request where the submitted documentation is incomplete, inconsistent, or otherwise insufficient to substantiate the terms described.
3. Review and Approval
All requests are subject to review and approval by DW in its sole discretion. Approval is not guaranteed. In evaluating a request, DW may consider factors including, without limitation, the comparability of the competitor’s terms, availability of the requested plan or location, and whether approval is commercially reasonable for DW. Decisions will be communicated through the member’s (or prospective member’s) point of contact and are final.
4. Rate Matching Methodology
Where a request is approved, DW will match the competitor’s stated headline recurring rate, exclusive of any temporary promotional credits, discounts, complimentary periods, or other time-limited incentives offered by the competitor. DW may, in its sole discretion, elect to match a competitor’s promotional or discounted rate where DW determines doing so is commercially reasonable, but is under no obligation to do so.
5. Term and Rate Duration
An approved matched rate will apply for a term equal to the term length of the competitor’s proposal, where applicable, and will be reflected in the Order Form issued to the member. Upon expiration of that term, pricing will convert to DW’s then-current standard pricing under the applicable Rollover Renewal Term, consistent with the Master Terms. Annual or renewal-based pricing adjustments under the Master Terms are not suspended or waived during or after the matched term.
6. No Stacking
An approved price match may not be combined with any other discount, promotion, referral credit, or program offered by DW, including DW’s community referral program and broker referral program. A member may not apply a price match in combination with any other rate reduction.
7. Frequency Limit
A company (including all members, seats, and locations associated with that company’s account) is eligible for one approved price match per rolling twenty-four (24) month period, measured from the date the request is submitted. This limit applies regardless of which individual submits the request on the company’s behalf.
8. Misrepresentation
Any request found to be based on fabricated, altered, or misrepresented documentation will result in immediate disqualification of the request and, if already granted, immediate revocation of the matched rate. DW reserves all other rights and remedies available to it, including under the Master Terms.
9. Relationship to Order Form and Master Terms
These Terms are a statement of DW’s price match policy and do not create a membership agreement independent of an executed Order Form. If a request is approved, the matched rate will be set forth in the Order Form issued to the member, and that Order Form, together with the Master Terms, will govern the membership relationship, including all dispute resolution provisions.
10. Changes to These Terms
DW may update these Terms at any time. The version of these Terms in effect at the time a request is submitted will apply to that request.
